These Terms of Service (“Terms”) govern your access to and use of the website, products, and services provided by CloudOffice.co.in (“CloudOffice”, “Company”, “we”, “our”, or “us”).
By accessing our website or using any CloudOffice service, you agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Definitions
For the purposes of these Terms:
Account means the customer account created to access CloudOffice services.
Customer means any individual, business, organization, or entity using our services.
Services means all products and solutions offered by CloudOffice, including but not limited to:
- Tally on Cloud Hosting
- Remote Desktop Services (RDS)
- Windows Based Cloud Servers
User Data means any data, files, applications, databases, or content uploaded, stored, or processed by the customer.
2. Eligibility
You must be at least 18 years of age and legally capable of entering into binding agreements to use our services.
If you are acting on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Service Provision
CloudOffice provides hosted cloud infrastructure and remote desktop solutions.
We reserve the right to:
- Modify service features
- Upgrade infrastructure
- Improve security measures
- Change service configurations
- Discontinue specific offerings where necessary
We will make reasonable efforts to provide advance notice of significant changes where practicable.
4. Account Responsibilities
Customers are responsible for:
- Maintaining the confidentiality of account credentials
- Restricting unauthorized access
- Ensuring accurate account information
- Monitoring activities performed under their account
You are solely responsible for all activities conducted using your account credentials.
5. Customer Data Ownership
All User Data remains the sole property of the Customer.
CloudOffice does not claim ownership of:
- Tally Data
- Accounting Records
- Business Documents
- Databases
- Hosted Applications
- Customer Files
CloudOffice acts solely as a service provider facilitating storage, hosting, and remote access.
6. Limited Access to Customer Data
CloudOffice personnel may access customer systems only:
- Upon customer request for technical support
- To perform maintenance activities
- To investigate security incidents
- To comply with legal obligations
Such access will be limited to what is reasonably necessary.
7. Software Licensing Responsibility
Customers are solely responsible for ensuring valid licenses for software installed or used within their cloud environment, including but not limited to:
- TallyPrime
- Microsoft Office
- Windows Applications
- ERP Software
- Third-Party Applications
CloudOffice does not provide legal advice regarding software licensing and assumes no liability for licensing violations committed by customers.
8. Acceptable Use
Customers agree not to use CloudOffice services for:
Illegal Activities
Including but not limited to:
- Fraud
- Money laundering
- Identity theft
- Unauthorized surveillance
- Cybercrime
Malicious Activities
Including:
- Malware distribution
- Ransomware
- Viruses
- Phishing campaigns
- DDoS attacks
Prohibited Content
Including:
- Child exploitation material
- Terrorist content
- Copyright infringement
- Pirated software
- Illegal gambling operations
- Content prohibited under applicable law
Resource Abuse
Including:
- Excessive CPU abuse
- Cryptocurrency mining without written approval
- Network scanning
- Service disruption attempts
CloudOffice reserves the right to suspend or terminate services immediately where misuse is detected.
9. Payment Terms
Billing
Services may be billed:
- Monthly
- Quarterly
- Semi-Annually
- Annually
As specified in the applicable order or invoice.
Due Dates
Invoices are payable on or before the due date mentioned on the invoice.
Taxes
All applicable taxes, including GST, shall be borne by the customer unless otherwise specified.
Late Payments
Failure to make timely payments may result in:
- Service suspension
- Restricted access
- Service termination
10. Suspension of Services
CloudOffice may suspend services without prior notice if:
- Payment remains overdue
- Security risks are detected
- Terms are violated
- Government or legal authorities require suspension
- Customer activity threatens platform stability
Service restoration may require payment of outstanding dues and resolution of violations.
11. Backups
Where backup services are included:
- Backups are provided on a best-effort basis.
- Backup frequency and retention depend on the purchased plan.
Customers remain responsible for maintaining independent copies of critical business data.
CloudOffice shall not be liable for data loss arising from failure of customer-maintained backup procedures.
12. Service Availability
CloudOffice aims to maintain high service availability but does not guarantee uninterrupted access.
Service interruptions may occur due to:
- Maintenance
- Hardware failures
- Software updates
- Internet disruptions
- Third-party infrastructure failures
- Force majeure events
Availability commitments, if any, are governed by the applicable Service Level Agreement (SLA).
13. Data Protection and Privacy
CloudOffice processes personal data in accordance with its Privacy Policy and applicable laws, including the Digital Personal Data Protection Act, 2023.
Customers are responsible for obtaining any necessary consents from their own employees, customers, vendors, or users whose data may be stored on CloudOffice systems.
14. Limitation of Liability
To the maximum extent permitted by law:
CloudOffice shall not be liable for:
- Loss of profits
- Loss of revenue
- Business interruption
- Loss of goodwill
- Loss of data
- Indirect or consequential damages
CloudOffice’s total liability arising from any claim shall not exceed the amount paid by the customer for services during the three (3) months immediately preceding the event giving rise to the claim.
15. Indemnification
Customers agree to indemnify and hold harmless CloudOffice, its employees, directors, partners, and affiliates from claims, liabilities, damages, losses, and expenses arising from:
- Customer misuse of services
- Violation of these Terms
- Violation of applicable laws
- Infringement of third-party rights
16. Termination
By Customer
Customers may terminate services by providing written notice and following applicable cancellation procedures.
By CloudOffice
CloudOffice may terminate services immediately if:
- Terms are violated
- Illegal activity is detected
- Non-payment persists
- Continued service poses security risks
Upon termination, customer access may be disabled and stored data may be deleted after the applicable retention period.
17. Force Majeure
CloudOffice shall not be liable for delays or failures caused by events beyond its reasonable control, including:
- Natural disasters
- Floods
- Fire
- War
- Government restrictions
- Internet backbone failures
- Power outages
- Cyberattacks affecting upstream providers
18. Intellectual Property
All content on CloudOffice.co.in, including:
- Logos
- Branding
- Website content
- Graphics
- Documentation
is the property of CloudOffice or its licensors and may not be copied, reproduced, or distributed without prior written permission.
19. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Thane, Maharashtra, India.
20. Amendments
CloudOffice reserves the right to update these Terms at any time.
Revised Terms will be posted on this page with an updated effective date.
Continued use of services after publication constitutes acceptance of the revised Terms.
